cmd.exe error on shutdown.

I have a PC running w2K with SP3 that is getting the error "cmd.exe - The application failed to initialize properly (0x0000142). Press okay..." When ever I shutdown or restart. If I open windows and do nothing then shutdown I hear the error beep but the message is too quick and the system shutdown okay. But if I open anything then goto shutdown or restart I get the error it still goes away on it's own. Checked TechNet and MS support but couldn't find anything.

cmd.exe is the DOS command prompt. Do you have some command line program running on your system?

That is the first thing I checked. I even looked at AD Policies to see if I was running a logoff script. The only thing I can think of that COULD be running is Norton AV active scan, but I don't think that would use the command prompt for anything.

NAV does not use the command interpreter so it cant be that, does it do this only when you are shutting down/restarting or does it also do it when you log off? (user process vs. system process)

It will happen for logoff, shutdown or restart but only if I open a program. If I login then do nothing but logoff or restart it won't happen.
