Changing Asus K8V Motherboard

Alright, I have a chance to change my Asus K8V Motherboard.

I have, in this machine, an Athlon 64 3200+ (2.2GHz) NewCastle core and 2x512MB Crucial Ballistix PC3200 Dimms.

I'm selling my K8V (K8T800) mobo to my brother in law.

Should I simply get an Asus K8N-E (NF3-250GB) and overclock that motherboard.

Or should i find a buyer for my Athlon as well and see my 3200+ and get an ASUS A8V-Deluxe with a Winchester or Venice 3000+ and overclock that. This would allow me to make use of the dual channel memory.
