Cant install Geforce4 on XP because of memory conflicts with AMD agp drivers?

Hi , i just bought a gf4 and i cant get in installed properly. The first time i installed the drivers everything went fine but when it tried to load up xp after rebooting the screen went black and basically just stayed like that. I dont think its the refresh rate problem bc the monitor doesnt switch off it just sits there. The culprit i think are the AMD 761 agp port drivers. Whenver i try install the nvidia reference drivers it installs but when i check by going into settings->advanced->adapter->resources it shoes me memory conflicts, saying that there are memory address conflicts with the agp port drivers. Anyone know how i can fix this? Ive tried uninstalling the agp drivers and reisintalling them but that doesnt help. I also dl'ed and installed the latest miniport drivers, also no luck.

PS all i have installed on my system are adaptec 29160 scsi adapter and a nic :

Did you check in bios all video shadowing is disabled? Also disable system bios cacheable.

I had a similar conflict that had to be resolved with a format and reinstall. I fiddled around for several days with driver removals and reinstalls to no avail.

Make sure you have the latest BIOS and chipset drivers for your system and don't overclock anything. Note that even you have an AMD northbirdge you'll still need VIA 4-in-1s for your southbridge, and in that case you should install everything but the VIA GART driver. Also you might need to boot into safe mode and reinstall AMD's AGP driver.
