Can I sell this version of windows?

I have a windows home xp dvd that is a dell reinstall disk/sealed/unused and has a ds/n number on the front.

Is this something that can be sold?

I believe the First Sale doctrine ( http://en.wikipedia.org/wiki/First-sale_doctrine ) ensures your right to legally sell the disc, but the person who bought it would be in violation of the license agreement and thus would not have a legal license to Windows. In other words, they might as well just download it off the Internet.
