If its an AnytimeUpgrade disk yes, all the bits are there and its just the key that matters.

i tried installing it by putting in my Vista Biz DVD and running the install using the new Ultimate key, it got all the way through and then just before finishing it restarted coming back up saying "upgrade failed, restoring previous version." at that point I said good night, and I may attempt a clean install tonight.
I will post my result

well didn't microsoft make a big deal about how you could simply upgrade by installing a different key? apprently, you'll need the disc. what MS says it that you buy it online, then download some software that upgrades your version of vista.

I'm pretty sure you can do it with any vista disc. On my anytime upgrade disc, doing a clean install, when I input the product key for ultimate, it will actually come up with a screen asking me which version I want to install (providing an ultimate key will let you install whatever version you choose apparrently). You should see this list to confirm before you actually install anything.
