what do you intend to do with it?
presuming you know the potential of the gto then you should go with that. its cheaper aswell right. you can pimp your case or something useless like that if you like with the extra money.
Although the GS has SM3.0 it is not really worth the bother in the last gen of cards as it just is not a fast enough card to take advantage of anything apart from the optimisations.
you can go with SLI as an upgrade path though. or crossfire if you have an LCD monitor.
most people dont really bother with aftermarket cooling.....but you are in the wrong forum to be asking that question........almost all of us here have something along those line so yes........you do need something buddy.
the choice as they say is yours but you cant really go too wrong with either card. one is better at one thing and the other is better at another. get the GTO2 of you are thinkning of aftermarket cooling as that already has the XT cooler i think.

The games I mostly play are Call of Duty/2, HL:2, CSS. I might get BF2.
I don't plan on going SLI or Crossfire.

What settings does SM3.0 help in?

So far I'm leaning toward the GTO but how much does the OC'ing part matter in comparing the cards. How much will adding a better cooler help?
The nice part of the GTO is that its $150 AR and i'm on somewhat tight budget.

Overclocked and with the extra quad of shader pipes unlocked would make the GTO a better buy at this point, The GS also overclocks very well from what I have read, They are both very good cards but from a price/performance veiw point I would get the GTO.

If your going to get a GTO make sure to get the Connect 3D or the sapphire GTO2 as these are the only cards that have the external power supply connector to unlock the extra pipes.

get the Connect3D GTO..

A high percentage of them will unlock, for a full 16 piped card...
500Mhz on the core should be no problem.. the stock cooler (copper) on it is pretty decent ..
The 2.0ns memory on it is really the only thing holding it back from competing with the GTO2... all in all though... most of these C3D GTO's will run at X800XT speeds, which in theory is what this card is, once you unlock the other 4 pipes..
Once its unlocked and overclocked even just a little, it will give the 6800GS a run for its money..

I went with the C3D GTO- short term card for me to get me into PCI-e and wait for the R580 or Nvidia 90nm cards. Some of the above linked benchmarks with 4AA/8AF turned up show the STOCK GTO tying(and beating by 1 fps) the GS. Can anyone point me to a good read on unlocking these cards?? I believe Riva Tuner is used but what steps??

if you look at anands 7800gs review, the 6800gs and the x850 are neck and neck most of the time (x850xt winning half life and gs winning in doom and quake). i'm gettnig the 6800gs myself because they're pretty much the same speed but you have to go through the whole unlocking/overclocking process with the gto. it's not worth risking $180. i'd rather just spend the $200.

Just go to the Techpowerup forums...
Search for Wizzard's modified GTO BIOS.

All it takes is a bios flash.... of course you have to proceed at your own risk...

There is an article that explains what you should look for to determine if your GTO will flash (its in the FUSES info)..

The GTO is cheaper than the GS where I live, so I would go for that option.

The GTO² however, is the same price as the GS here, so it comes down to performance vs. features.
