the reason i am upgrading is because someone is buying out that system for more than what i paid for it a year ago ... so my idea is year old technology for more then what i paid for it seems like a good deal for me and why not do it for better hardware that wont cost me anything

So how much is he paying for your current PC? I can see the the new PC being a reasonable purchase if: (1) you don't pay much more than what your friend pays you and (2) you get the same or better performance with the new PC as with your old PC. However, in that case it would also serve your friend more to buy a new computer himself, so I can't really see this being a mutually beneficial deal.
