building a file server/htpc

I am going to be building a file server soon and would like it to also function as a file server on my network. I have been going back and forth about what operating system I should use primarily, I am leaning toward ubuntu + mythtv right now. Another option would be to go for XP + Beyond TV or even MCE I guess. Does anyone have any input on which way you recommend going for a file server and htpc? I will be using a Hauppauge WinTV401 as a tuner.

Potential specs:

Athlon 64 3000+
2GB Ram
eVGA Geforce 5900SE
Hauppauge WinTV 401
600GB Storage
