Building a computer, need some help

I am going to build a new computer to replace the cheap one I am using right now, which is AMD XP 1800+, with a ECS K7S5A -- the CMOS is keeping get reset recently. I guess I put too many HDD.
The new system will be used most for web surf, downloading, and occationally game playing. But I am planning to do more video editing.

I already got some new parts:
Antec Super Lanboy case
Ultra X-connnect 500W PSU

And is planning to keep these parts
RADEON 9800Pro
Seagate 120GB IDE x2, for Raid 1
WD 120GB, data storage.
CD-RW and ext Pioneer A06, mouse, keyboard, speaker, IDE raid card

What I still need are mobo, cpu, 512MB memory and HSF. I kind of want to go with AMD64 2800+ and DFI Lanparty UT nF3 250Gb, but don't yet know what kind of memory and HSF I should get. I am thinking get the Corsair Value Select 512MB PC3200 x1. Will this be good enough? I heard good words about Zalman fans. Will it go well with the case and mobo?

I never did serious overclocking before, but willing to give some try this time. I will not try to push to the limit, and more leaning over to a stable and quite comptuer.

The budget is $300-$350.

Any help I can get is greatly appreciated.
