I had these BSOD's before with different system files deadlocking and without... i reinstalled windows and just got anothe one with win32k.sys... For a record i have the following software installed in win2k sp2:
Spyware Blaster,
Norton system works 2005,
office xp,
mozilla firefox,
Realtek ac'97 audio soft for onboard audio ( ran fine before with no problems).

Bsod's usually occure every 24 hours.

i have pictures of event log.. how can i post it?
 
Do you have a DMP file in the \Windows\Minidump folder? I might be able to analyze it to determine the cause of your blue screen.
 
One crash was caused by ati3duag.dll and the other by ati2dvag.dll. Both are related to your video card. Are you using the latest drivers from ATI? You might want to upgrade and see if that helps.
 
Uninstall your ATI video drivers, then re-install them.

I had a similar problem (ati2dvag.dll errors) when I upgraded my drivers. follow the ATI upgrade instructions.. it says to uninstall the old drivers, etc etc.
This is my first ATI card.. I always had NVidia cards before and to upgrade I simply ran the new driver install rebooted and I never had a problem.
apparently ATI drivers are pickier about the uninstall thing....

So you are overclocking? That's absolute FIRST thing you should change when troubleshooting BSODs. Run at stock settings and see if your problems continue.

I checked your latest two dump files. One is ati2dvag.dll and the other is win32k.sys (Windows graphics layer driver). There is definitely something up with your video card.

My recommendations:

1. Change to stock settings
2. Uninstall and reinstall the latest ATI drivers.
3. Make sure your motherboard chipset drivers are up-to-date.
4. Make sure Windows is up-to-date.
