Yep, corrupt registry. You can boot into recovery console and copy the original files from c:\windows\repair into c:\windows\system32\config (make backups!) and that should get you bootable, and then you can put a previous version's files back in place from XP's Restore Points (or you can boot with BartPE CD and do that in the first place, which is what I'd do).
