Here is my whole soap opera:

My computer: AMD Athlon XP 2600+ 1gb ram operating at 266MHz FSB, brand-new 74GB SATA WD Raptor HDD, Asus A7N8X Deluxe MB BIOS Rev. 1008, SB Audigy Gamer, GeforceFX 5600 Ultra, 56.6 modem pci, and an amd cert 550W power supl.

1. Installed WD HDD about 2 months ago, still had maxtor 80GB IDE HDD installed as well, when I would boot up, I had two XP startup options (1 for each HDD). No problems.. SP2, all updates, etc. etc.
2. Purchased Athlon XP 3200+ 400 MHz FSB CPU and 2x512 1gb Dual Channel memory kit.
3. Installed items, computer booted fine, but would hang after logging on to windows.
4. Rebooted a few times, started to get BS of Death, could NOT boot with IDE HDD either
5. Decided to reinstall XP fresh, unplugged IDE HDD, started install, got to 13% and froze
6. Tried again, got to 3% and froze again
7. Checked CPU Heatsink, VERY HOT... Removed 3200+ CPU, no actual signs of it being smoked
8. Reinstalled 2600+, but kept new dual channel memory in, FSB now running at 333MHz, and Dual Chan mode
9. Installed xp just fine.. Nice and quick. Shut down for the night.. Next day wife uses comp to surf web for several hours.. no problem.
10. I get home from work, computer still on, I install Audigy drivers from Creative OEM CD, no problem.
11. Reboot, go to windowsupdate website, install a few security updates etc., no prob. Reboots no prob
12. After booting up, XP automatiacally starts downloading SP2. Finished DL'ing starts to run SP2 install prog. all automatically, I touch nothing..(was watching a movie)
13. After checking config, etc etc, starts to do actual installing of SP2, after about 3 mins (status bar at approx 10%) computer spontaneously reboots, I get Win XP logo screen, then BS of D, then computer reboots over and over again.

This is where I am at right now. PLEASE HELP!!!!! What's a guy to DO!!

Well, I got SP2 loaded, the only thing I can think of was that I had my logitech cordless optical mouse plugged into the USB port and its USB 2.0 and I needed sp1 or 2 installed to support 2.0.
So I used a USB-PS/2 adapter and it seemed to work.
Also going to buy a new CoolerMaster Jet 7 and try that.

Btw, thx for all the replies.. I HOPE that no one replied because they were stumpped and not because I wrote "help a brother"

Glad you figured at least part of it out :) Have you run a memory check to rule out bad RAM (which can cause spontaneous reboots)? Did you check your temps also, just in case?

I think we're all stumped here

Got a new MOBO anyway (Gigabyte GA-7N400 Pro2) just for kicks. A lot of the same probs..

Basically I think that the new CPU AND ALSO the MEM I ordered are GARBAGE and I'm returning them. Man, I hate getting ripped off all the time.. I still want to upgrade, but I think its time to NOT go with the lowest bidder for a change.. lol

And now I have a new problem.. Something happpened to my old CPU, now both MOBOs say its a Duron at 2088 Mhz not an Athlon XP 2600+.. It works fine, its just got me really stumped.
