Boot problem - please help!

I just built a system but have a bootup problem. Here's what happens:

1) If I power cycle the system, the boot process starts, proceeds up to "Press F2 to enter setup" and then the system shuts down abruptly. I can't seem to enter cmos setup before the system shuts down. I can not exactly read the messages on the screen before it shuts down but it appears to spit out different messages each time. I thought I saw "CPU shut down due to thermal event" or "Please use ATX 12V power supply" or something to that effect. I am really not sure about it because I dont have time to read them before the screen blanks.

2) If try to restart using the switch on the front panel, the system beeps 4 times and then nothing happens. The beep sounds are a high pitch-low pitch combination - more like a ambulance or something.

Here's my system:

Pentium 4 3.6G Prescott LGA 775
Intel 915GEVL motherboard
512 MB DDR2 Kingston single DIMM
Antec case 350W PSU
Maxtor HD
Onboard graphics and sounds (for now).

I have tested all power connections, taken everything apart and plugged in step by step, but without luck.

Any help is greatly appeciated.

 
Never used 775 CPU before but are you sure you seated it correctly? Try taking your heat sink and cpu completely out and put them back in again and see if that helps.
