Im presently running an XP2700(333)cpu, 1.5 Gigs of crucial 2700 ram, leadtek 6800, im just not getting the smoothness i want, if i upgrade to a xp3000(400), 2Gigs of 3200 ram, and keep the card would i see a noticable improvement?

How much money are you willing to spend? I don't think it would be wise NOT to go with the low-end Athlon 64.

What kind of settings are you trying to run?

My system is a bit less than yours (AXP @ 2.0GHz, 1GB, 9800 pro) and it runs 1600x1200 @ medium detail just fine.

I can turn up the textures, geometry, etc up.

Dynamic lights, etc though kills the frames :(

A 2700+ is 2.167 GHz and 256k cache
A 3000+ is 2.1 GHz and 512k cache

I think this is a case of misleading PR numbers, I doubt you'll see any difference at all. Those processors will perform within 5% of each other.

What res/settings are you using, I'm having a hard time believing that a 2700+ is causing your issue, and doubt moving from PC2700 to PC3200 with a slower processor that has more cache will solve your problem.
