My Epox 8KDA3J & Sempron 64 2800+ retail overclocks to Athlon 64 3400+ caliber speeds, and they only cost $125 or so, together. If you need to squeeze graphics into that budget, you can get the Sempron 64 2500+, which has about the same overclocking threshold as the 2800+, but costs ~$15 less. And they sell a decent Apollo video card for ~$40. That brings the total to $150, which is within your budget.
