Im thinkin of building a new rig soon but I want to keep the cpu under $200. I dont want conroe till its matured more. And it seems that the Intel Pentium D 940 @ $187 whoops up on most things out there for the money.

No interest on AMD, the X2 3800 is around $150? I'd go for Conroe instead of a Pentium D if you're willing to spend 200 bucks anyway.

Just tossin ideas around. Leaning towards intel because I never built a intel system before. I love OCing and tinkering and just feel all of Conroes issues is something id like to avoid right now. would like something more proven with a wider range of mobos to choose from and no compatibility issues. Seems like the 940 is a nice overclocker and in benchmarks it takes a AMD thats far more expensive to keep up.

An x2 3800 OC'ed vs a 940 OC'ed on the same $ hardware ? the AMD X2 3800 will whup a$$ on the Intel.

Opteron 165 @ 2.5 will crush any single core CPU for most practical purposes and I think it is a better option that most/all Intel non Core 2 Duo CPUs, you can consider XE965 if you want, not sure about it. I think you are making a new rig, then:

Sorry bud, but I have to say it... for $208 shipped (Or slightly less) you can nab an E6300. The only Conroe/Allendale "issues" I know of are the motherboard support, but you should be carefully choosing a mainboard anyway... The performance and power/heat savings difference is just to much compared to any Pentium. And since you like OCing, I should mention 3ghz+ is turning into only an average overclock on low volts with air cooling no less, if you get a good match of components and the right $160 mainboard. I can hit 3.6ghz now with just air, 1.36v, and a trusty E6300. ;)
