bad video card?

ok so i just got a pretty sweet new build, and things went fine for awhile until during videogames, it would freeze and flicker to a black screen. i started to smash alt+tab and ctrl+alt+del until it came to, and it did recover without shutting it down. my first thought was overheating. i have a GeForce 9800 GTX(G92) and i have seen various complaints of heat issues. anywho things got really interesting when "nv4_disp" stopped running and threw everything into well see for yourself http://steakman.net/nv4_disp.JPG ok simple enough, update the nvidia drivers. did that and now during games, this happens... http://steakman.net/brokencss.jpg and http://steakman.net/brokenbf2142.jpg all the textures are screwed up beyond belif, but alt tabbing (which takes unusually long) and re entering the game fixes the problem, until it happens again. i was thinking that my next step should be to update the bios.... any other thoughts before i give up and RMA this card to newegg?

setup:
ABIT IP35 Pro LGA 775 Intel P35 ATX Intel Motherboard
XFX GeForce 9800 GTX(G92) 512MB 256-bit GDDR3 PCI Express 2.0x16
OCZ GameXStream 700W ATX12V Power Supply
Intel Core 2 Duo E8400 Wolfdale 3.0GHz LGA 775 65W
2 x G.SKILL 4GB (2 x 2GB) 240-Pin DDR2 SDRAM DDR2 800 (PC2 6400)
22in dell widescreen 1680x1050

It's probably overheating. I assume since it's an XFX card that it is factory overclocked.
What kind of case do you have this in?

I know when the 9600GT's first came out EVGA had pretty much the same problem, but I think it was more of a voltage regulation problem on the card itself. I had one of the problem items, and the card never really got that hot.

When you updated your video drivers did you first uninstall the old ones?

If you didn't that could cause some issues, so you may want to try uninstalling your video drivers, reboot, then install the new drivers and reboot again.

i did uninstall them before i installed new ones... should i try a 3rd party set? i think my card is close to calling it quits
