Asrock Dual 775 or Dual 939? Which way to go?

I know of the Asrock dual 939 for the X2's but I was wondering if there are any options for the new conroes. I just don't have the money to upgrade my X800XL video card and 2G of PC3200 ram so that's why I was thinking of upgrading my Xp3200/A7N8X Deluxe combo for a X2 3800/Asrock Combo. But if there would be anyway of using my video card and PC3200 with the conroe then maybe I would do that. Suggestion? Thanks.
 
So should I go with a E6300 processor with that mobo or an X2 3800 on the 939 dual board? How would my 2G Samsung DDR400 RAM do overclocking a lower end conroe?
 
Ok so I've done a little more research with pricing and would now like to ask my previous question to everyone based on pricing and value. Please try and remember I need to use my AGP X800XL and my 2G PC3200 Ram as I don't have money for a new system. Also these prices are Canadian and thus not as cheap as american prices. These prices are from www.memoryexpress.com which is the cheapest place for parts in Calgary Alberta where I live.
