I don't know that I would go with such a big power supply. I'd go with a slightly lower power supply and upgrade your video card(if you're gaming). Also, bigger hard drives tend not to cost too much more money so I would go with a slightly bigger one, if you're willing to spend/want a bigger hard drive.

Any suggestion on a VC upgrade? Is this mobo okay for overclocking this chip?

I think ATI has some new video cards coming out really soon, hopefully someone else knows the specifics of that launch. I've been out of the loop lately, and I know that the bang for the buck cards changed since I've last been caught up with that.

ya, 9600 GT not so great anymore. I would go for a 4850 or HD 5 series equivalent. Also, I am not positive about the mobo, but it should be fine for ocing that chip.

1 .E5300 is only $2 more on Newegg. Makes no sense to go for E5200.
2. That mobo only has 2 DIMM slots. That's not so good. I'd consider Gigabyte P45 UD3R. Great board for Q9550 E0 overclocking down the line.
3. That PSU is way overkill for your build. Get OCZ ModXtreme 500W for $45 or Corsair 400 watts for $40.
4. I like your ram choice.

5. Xigmatek 1283 $27 free shipping. Should handle the 45nm Q9550 E0 quad core on the UD3R.
6. For videocard there are a bunch of 9800GTs for $80 on Newegg, then MSI Cycle 4870 1GB for $136 on Zipzoomfly.com.

9600GT would be slow, unless you're like me and just run flight sim's. CPU bound games like that don't really benefit from extra GPU. But if the 9800GT can be had for not much more $, I'd go with that.

Sure, it's a $30 gamble on a rebate. But you get a few freebies. A factory overclocked 9800GTX+ is going to be the same card as a GT250 (which are also about $110 AR). Definitely don't get a 9600GT in almost 2010. And if you can stretch your budget even a little bit definitely consider a 4870 or 260GTX 216. You'll have the PSU for it, use it!
