Any clue why power management messes up in Win2K

Anyone know of fixes? I can't use it properly. If I enable APM and try to shut down it reboots instead of shutting down.. if I disable APM then I have to power down manually it says your computer is ready to shut down, etc.. I have to do a special thing when I set up Win2K to disable ACPI or it won't install. I press f6 to load special drivers and then press F7 and then continue.. this disables it. Otherwise I get a blue screen and I can't continue the isntall. It says my BIOS isn't fully ACPI compliant. But Win9x can shut down my computer just fine? I don't understand why. The mobo is an FIC VA-503+. Any suggestions greatly appreciated!

I checked FIC's site for BIOS updates.. I already have a special one so the K6-III+/450 will work (which is at 600 now), so I'm kind of afraid to try a BIOs update that has to do with ACPI stuff, because it may not work with my CPU ... I have had bad bios flashing experiences, so I'm afraid of it now.. :)

dammit seriously that thing pisses me off.. oh well not really, it's somethin' to complain about!

But doesn't anyone else ever have problem like that?
