This is going to be used primarily for Age of Conan on a 21 inch 1680x1050 LCD. I'd like to keep it under the $700 mark after rebates and all. I also plan to do a healthy bit of overclocking.

Thermal paste is overrated. I wouldn't worry about buying it separately, just use what comes with the Freezer.

Looks pretty good overall, although I would go with 2x2GB of slightly slower RAM. Quantity > speed. Even considering that you're overclocking, DDR2-1000 is enough, and it's less expensive than 1066. (Frankly, with the 9.5 multiplier on the E7200, DDR2-800 is fast enough to just about max out the chip on air cooling.)

That Seagate is also a generation old, and fairly small by today's standards. I would very strongly consider getting high performance and over twice the space for less than twice the price:

Changed out the ram for 4gigs of DDR 800. Storage is not much of an issue since i keep most of my media on an external drive. Thanks for the suggestion, memory was the only piece i was really undecided on besides the PSU.

I think its finally settled. With the GTS and overclocking i should be able to get close to 40fps on high. I built my dad a pretty standard E8400 4gig 800GTS system and it runs around there without any tweaking.

Great, i didnt think they would be available with rebates so early. I am still pretty amazed with what can be had for 700 bucks these days.

Swapped out for the MSI 4850 and placed the order. Thanks for the input everyone, improved my build quite a bit for a little bit of cash.
