A64 chips don't really have "FSB." They use a HyperTransport Bus with a speed of 800MHz up, 800MHz down for a total of 1.6GHz HTT (on the Opteron and FX chips, AFAIK). There's a few boards for the FX such as the Asus SK8N and SK8V, as well as an MSI one and of course some Tyan's but they're more suited for Dual Opteron server setup's ;)

As for a S940 SFF, there are none so you're outta luck in having an FX powered Shuttle.. For now ;)

Maybe this and this can help clarify a little :) Check the rest of HT's site if you're still a little vague :)

For cooling there's a growing variety of coolers. I think the Zalman CNPS 7000A-AlCu/Cu is the top pick for its great yet silent cooling. The Thermaltake Silent Boost is also a popular pick. There are also some high end solutions from Thermalright like the SLK-948U, the Alpha PAL 8150T, and the MCX-6400-V & MCX-64-V from Swiftech.

oh i thought a heatsink would be too weak for these processors.. i have a silent boost on my xp-m right now =P but if i ever get a fx i would probably invest in the best heatsink i can get along with the best fan i can find for it
