I'm adding a 2003 server to my AD infrastructure. What directory does adprep have to be in on the 2k DCs?

Is the 2003 server going to be a domain controller? If not, you don't need to run adprep.
You can run adprep from the 2003 CD. You run adprep /forestprep on your schema master then wait for replication. Then you run adprep /domainprep on the infrastructure master (which may or may not be the same server). Then you run dcpromo on the 2003 server to make it a DC.

Ok I'm still having some trouble heres the update.
I ran adprep /forestprep. It worked fine, updated like 32 files. It completed an brought me back to cmd prompt.
So i ran adprep /domainprep and it's telling me to run /forestprep again because the domain info is not updated. I let it sit there for awhile incase it had to replicate or something. And I did rerun /forestprep a few times and it just throws a few "......" on the screen and then closes as if there are no files to update.
Heres the exact message I'm getting
