A .bat file for closing background programs before installing?

Does anyone know how to create, or have a .bat file or any other program for closing programs automatically before installing software?

If you don't close background programs, what is the worst that can happen? I ran into a problem once, where all I had to do was unistall the two conflicting programs, and install them separately with the other one turned off. How important do you think it is to close all unnecessary programs?
 
All I ever do is disable Norton Antivirus before I install. Someone mentioned a program called EndItAll. I believe it is freeware. I use it to stop everything I want stopped before I play D2. Very nice.
