64bit cpus with 32 bit OS

I see cheap AMD 64 bit computers that come with winXP. Are these 100% transparent or are there small issues in having a 64 bit chip?

No issues whatsoever.

The only difference really is the number of ALU and another thing that are availible for operations. While in 32-bit mode, you lose nothing compared to a purely 32-bit processor... actually I cant verify that as there was only a brief time when you could get nearly equal processors one non-64 and the other 64bit.
