4 failures in Memtest v3.2

Stupid me forgot to record the actual failures down, but after letting memtest run overnight, it found 4 errors. Does this indicate my memory is bad?
 
If it's only 4 errors, it could also be CPU or heat related. How much voltage are you giving your memory? Also, try backing down the OC about 5 Mhz and see if that helps.
 
The initial problem I was having that made me do the memtest was WMP 10 randomly kept giving me blue screens of death "IRQ NOT LESS OR EQUAL"

any ideas?
