I have very similar hardware in my system. Install the cards in the following slots:

AGP = video card
PCI1 = nothing
PCI2 = sound card
PCI3 = nothing
PCI4 = network adapter

With this configuration, your ACPI controller (provided that it's enabled) will share IRQ's with your USB controller. Thus, all the other devices will get their own IRQ's.

When all else fails, try different RAM...

AGP - GeForce SDR
PCI 1 - Empty
PCI 2 - Promise FT100
PCI 3 - 3Com NIC
PCI 4 - SB X-gamer 5.1
PCI 5 - Diamond SupraMax modem
PCI 6 - Empty

I posted my similar experience (also with a 3com nic) to another thread. There appears to be some incompatibility between the 3com and something on the MSI board or drivers. I was getting complete lockups of the machine when playing avi's or rm's, as well as the sound loop problem. Finally swapped out the 3com for an old, cheap Addtron 10/100 I had lying around and almost all of the problems disappeared.

I still do occasionally get the sound loop that requires a restart to fix, but it's only occasional. I think it's a separate issue related to the sound chip and am going to try the Diamond S90 I took out when I upgraded the motherboard.

There shouldn't be any problems between the SB live and the 3COM NIC. You probably have an IRQ sharing problem. The SB Live doesn't share IRQ's very well. Also, make sure you have the latest dirvers. This is especially true for the SB Live!
