350w PSU enough for this pc?

I'm asking because I have this case and it comes with a 350w.

And this is my pc P4 2.4c GHZ, ABIT IS7-E, 1GB PC 3200, 6800gt.

I plan on overclocking my cpu after I move everything in this new case and buy some extra cooling.

So is 350 enough for that even with overclocking? I have a 480 Ermax or whatever it's called, but it's a couple years old so I'm not sure if I should use it or not.

also in the side of this case there is a vent for cool air to come in to the cpu and I'm thinking I might add a fan under the vent to blow more cool air straight to it. Do ya think that's a good idea?

EDIT: forgot to post what was in my pc.

80g harddrive, videocard 6800gt, P4 2.4, floppy drive, cd burner, dvd drive, sound card, 120mm fan in the back and a 80mm fan in the front....that's about it I think.
 
That will run fine on that computer setup. If the 480W is working fine though, I would suggest using that. A couple of years old or not it will likely overclock better than the stock 350W Antec. Good luck...
