1 yr old MB died - How to Replace?

Just about a year ago I upgraded my system and bought an AMD Athlon XP 2500+ Barton, Epox 8RDA+ MB, and 1 gig of PC2700 DDR memory (2@512MB).

It appears that my motherboard just died. (will not boot, removed all components, still no boot, error code FF) Is it worth just replacing the MB? Can I reuse the CPU? (what about re-attaching the heat sink?) Would it be better to just buy a new MB/CPU/Memory combination again?

Suggestions?
