1.4GHz OC'd 1Ghz AXIA or 2x P3-750 OC'd P3-600???

Right now I'm considering two choices for upgrades. I'm running on an Abit BH6 v1.1 with a P3-600E OC'd to 750MHz with 384MB PC133. The two DIMMs are Crucial PC133 256MB CL2, and Kingston PC133 128MB CL3.

First choice: $230

~$140 AMD TBird 1GHz AXIA and OC to 1.4GHz
~$150 Decent AMD760-based (?) motherboard
~$140 2x Crucial PC2100 256MB DDR RAM

Total comes out to be $430. After I sell my old CPU, motherboard, and RAM, I expect to pay about
$230.

Second choice: $130

~$80 Second P3-600E OC'd to 750MHz
~$120 Rioworks PDVIA-LS

After I sell off my old motherboard, SCSI and NIC cards, I expect to pay a total of about
$130.

What do you guys think? I plan to sell the stuff on ePay and I think I can get those prices. As you can see the two choices differ a lot in price. I'm primarily concerned about the performance of 2xP3-750 vs 1x Tbird 1.4GHz. I do a LOT of multi-tasking in W2K... I'd like to be able to play a DivX rip and still be able to browse online and do various things without having the system slow down.

FOR $200?! Damn...I sold my MSI K7T Pro2-A MOBO, Athlon Thunderbird 900MHz CPU, Coolermaster 6H51 w/ Panaflo Fan, and 2x128MB PC133 CL3 Micron SDRAM all for $215...good luck selling...if you sell I will feel so ripped off!! Oh and that's the upgrade I'm planning to do!! Seems like everyone's going for the same upgrades
