Ok I have found it for sure. DX 9.0c was it. When I redone computer I installed DX from MS site when i updated windows. When game installed I choose not to install DX due to I 'thought' it was allready there. Loaded DX off of game cd and no problems now :)
My mobo I have F3 bios, not sure of revision. Have to check when I get home from work. According to Giga's website the F4 bios is to be able to use AMD Sempron CPU's. Since I use an Athlon XP I didnt see need to upgrade bios to F4.

Think i have found problem. I use Norton 9.0 Coporate and if I disable autoprotect it seems to work. I had this problem before with earlier version of Norton and then I switched to McAfee, but I switched back........

I have same mobo. The LAN setting is in BIOS under INTEGRATED PERIPHERALS, look for ON_CHIP LAN. The default is AUTO and other option is disabled.
Problem I have is after while online playing it looses it's connection and I need to reboot. I have latest Nvidia chipset drivers in.
