You need to format a memory key b4 using it?

i got this dell 64meg that i bought to pad my order.

i just tried to use it in my winxp sp2 machine, and a popup said i need to format first. i press ok, and the format failed?!

Hmm.. I don't recall having to do that when I got my memory sticks.
