However, as far as Hardware Drivers concern you need 64bit drivers, the 32bit can not work with 64 CPU and 64 OS.
As Far as software goes.
WinXP x64 installs
One Program Files directory that includes all the 64bit programs.
One Program Files (x86) directory that includes all the 32bit programs.
The 32bit programs can be divided into three categories.
1. Will not work at all with x64.
This comprise mainly of Utilities and Programs that re heavily interface with the OS (like Firewall AntiVirus and System utils).
2. Will work only with other 32 bits programs and 32bits interface.
3. Will works smoothly with every thing on a x64 Rig.
