Do you have a copy of XP? Do the free trade in. If you don't, then sure, it might be worth the money.

I am dual booting XP SP2 and XP 64. Many companies are now coming across with X64 drivers and for me at least, X64 is as solid as XP SP2. I have no problems running any games and even pick up a bit in some.

IMHO, do the trade up unless you want to keep both. I had several copies of OEM XP Pro so I just traded a couple in and am glad I did. Now that X64 is out and Longhorn is upcoming, there will be more and more support and games/apps. for 64 bit!
