XP Professional OEM upgrade help

Is my friend full of &*(* when he says that an XP Professional (Full) OEM cd cannot do an in-place upgrade of xp i.e. reinstall xp over itself?

I know it can't perform a regular upgrade (say from 98 to xp) but this is the first I've heard about it not being allowed to do an in-place upgrade?

I'd like to shut him up once in for all so help me out

an in-place upgrade of which xp? i don't think you can "upgrade" xp home to xp pro, but i don't see why you wouldn't be able to install over any version of windows. that would probably royally hose up your system though. upgrades suck - backup, format, and install from scratch.
