XP Pro Upgrade

I got Windows XP Pro Upgrade from my college for $5, but I have Windows Home. I bought it because it is a steal and I will never see that price again, but what issues does it have versus using a true Pro CD? There has to be something otherwise it would have the whole version on it and you would be able to install it on any computer I would think. I have heard to never upgrade to XP from 98 or ME, but I was just wanting input on if it would be good to upgrade or best left as is with a full version of Home. Thanks in advance.

There isnt a difference between the upgrade and full version of Windows XP Pro. You can do a clean install with the XP Pro upgrade cd and somewhere in the install it should ask you to insert a full version Windows CD from a previous version(Windows 98/2000/XP) to verify you have the previous version. As for the differences between the Pro and Home versions of XP, Pro provides alot more features. This article describes some of the features you find in Pro that you dont get in Home.
I would try to do a clean install if you can, but an upgrade from XP home should be fine.
