Non OEM versions of this can be moved from 1 computer to another as long as it is not installed on both correct? I have 1 retail upgrade copy I purchased when it was first released and 1 full version I purchased as part of the Go Pro kit for MS partners a couple years back. I am doing a new build and am planning to use one of these for the OS since the machines they were originally installed on no longer exist.
 
Correct, the extra money you paid for the retail copy allows you to freely do anything you want with the software, as long as it is installed on one single computer at any time.
 
Upgrade is retail only (no oem versions) so as long as he still fulfills the upgrade requirements, he should be good
