XP Pro Install Problem

I just bought a new motherboard, cpu, and memory. Whenever I try to install XP Professional it gives me an error when it is copying the files over from the cd after format. The error is IRQL_NOT_LESS_OR_EQUAL, or Stop: 0x0000000A.
I have tried swapping out everything other than cpu and memory and it still gives me the same error. My motherboard's chipset is VIA KT333 and I have already flashed to the newest bios. I'm thinking that my memory is bad. I may try and see if my friend's Crucial memory works. Any suggestions are welcome to helping me with my problem.
 
Ok, now this is weird, I've put my memory's clock speed down to 100MHz and it is now installing fine, everything has copied over and now I'm at the installing windows portion of the setup. So I'm not sure what kind of problem it is yet, maybe OCZ screwd up my memory and now it only runs at 100MHz? All I did in BIOS was run Fail-Safe Defaults and it works now. I'll try and bump my memory back to 166 and see if it crashes after it is installed all the way.
 
grr, I should've got the corsair memory, it was only a $10 difference.

ok, so it's $8 cheaper now... I'm gonna call newegg and see if they'll let me exchange my memory.
 
I can only get XP to load when the MB is set to fail safe defaults. I doesn't like any tweaks durring install.
