XP kernel debugger DLL problem

My comp freezes up every time it gets to the part where winXP says it's loading the 'kernal debugger dll'
tried 2 cdroms and it gets by that step fine in a different comp so it's not the disk...
suggestions?

psu is 465watt and has very little running off it

okay I pulled out one of the sticks of memory and now it says "setupdd.sys could not be loaded"

any idea what that is? this disk has worked before..
