I replaced my Mobo, Processor, RAM & Video card. Connected old HD and it runs through the BIOS and then, instead of starting the OS (WinXP Home), it reboots.

The BIOS detects the HD correctly.

I ran a Western Digital diagnostic on the HD from a bootable floppy & it says all is well.

The old processor was a 32-bit Athlon, the new is a 64-bit. I know XP can handle 64-bit processor, but might it need to be re-installed?

Welcome to the Forums :) Your hunch is correct, WinXP is pouting because you changed a bunch of stuff. Reinstallation isn't the only option, but it's probably the best option. If your WinXP CD doesn't have Service Pack 2 built into it, then take precautions against worm attack. Whether you go online yourself or not, a direct connection to the Internet without firewall protection is dangerous.

Put HDD back into old system, change HDD controller to "Standard PCI IDE Controller" in Windows, immediately shut down. Move HDD to new AMD64 system, boot it up, have driver disk handy.

You could also try a repair install. That will normaly fix the problems that happen after a major upgrade, and allow you to get back in to windows without loosing any data or installed programs.
