If the 64MB version is not using a 128-bit memory interface, the the difference will be enormous.
If they are both at the same memory
speed, then you may have to lower texture or other detail levels to get identical performance on the 64MB part. Some very demanding games may not be able to get their video memory usage under 64MB, which will hurt performance quite a bit.
For $45 it doesn't seem like a terrible investment. If the 64MB version only has a 64-bit memory interface, DEFINITELY buy the upgrade.
