X5460 or E5450 for small home server?

I am planning on doing the LGA771 to LGA775 mod for a small home server, the server won't be on 24/7.

X5460
3.17 GHz 9.5x | 2 x 6 MB | 1333 | 120 W | 45nm

E5450
3.00 GHz 9.0x | 2 x 6 MB | 1333 | 80 W | 45nm

I'm planning on overclocking my CPU.
My question is; would the better overclocking capabilities of the X5460 outweigh the lower power cost of the E5450 and what one would you chose.
 
the .5 higher multiplier can be quite nice to have if you are going to OC.

as for power... you could undervolt and underclock the X5460 a little bit and get similar power usage...
