Thats kind of too vague a question. One is a P35 chipset and the other is X38. So there are going to be differences in available features. Which one is "better" all depends on what you are going to do with it and if you are going to use the additional features of the X38.
they both use the same southbridge so basically it comes down to if you need the extra x16 PCI-E lanes (& PCI-E 2.0) afforded by the different northbridge.
