I am wondering if a intel Xeon Xeon E5-4603 v2 will work as a replacement for my current PC( mother board : Intel H67H2-CM CPU :
Intel® Core™ i5 - 2320 Processor )?

No, it would not work. The Xeon E5 uses a different socket from your motherboard- your motherboard is LGA-1155, and the Xeon uses LGA-2011.

If you really want to upgrade, I would recommend something like an i7 3770k.

Both the cpu and motherboard would short and be broken. NTMBK already told you it wouldn't work.
