ok Currently I have a AMD XP2400 running XP Pro....

If I Kept the same HDD and slap in a new MOBO and CPU combo from Frys...

(Athlon 64 combo)....

Would I have to reload my OS and all my programs???

When I upgraded from a 1800 I believe to 2400 I didn't need to reload....

If I have to, I might just go grab the dell 24 widescreen P4 dual core deal and not have to deal with the setup....

Its not 100% necessary but advised in most cases.

Whether you get the A64 system or go for that Intel system, you'd be best advised reinstalling your OS and programs. I actually think 100% that you'd need to reinstall your OS for the Intel Dual Core setup to take full advantage of both cores.

Not neccesarrily. If you take a couple of steps prior to shutting down for the last time prior to putting in the new motheboard, a re-install usualy ins't neccessary. Reset the video card, to standard display adaptor, even if you are using the same video card. Un-install the Hard Drive controllers in device manager. Then shut down, and put in the new motherboard. That will work in most cases. Even if it does not, doing a repair install from the windows CD will keep your files and programs intact and functional, and I have yet to have that not work. I even ghosted a raid-0 raptor array from a P4 system, to my AMD dual core system with a single 160gb hard drive, and got it to work with a repair install.
