Would an unOC'ed e6400 limit 8800GT performance?

I run a SFF pc with a Foxconn G9657MA-8EKRS2H

I have 4 gigs of DDR2 800 (Mushkin clocked at 5-5-5-12)
My e6400 is stock with a Thermaltake cooler (name escapes me at the moment)
My PSU is a Seasonic 430W S12

Supposedly my board doesn't OC that well.. And I've never OC'ed in my life.

I am considering the OC'ed versions of the 8800GT when I see them, could my processor limit the performace of the card? In other words would it be a waste to buy the OC'ed versions.
