Worthwhile upgrade?

Specifications:
* Processor support: 370 ZIF socket for PPGA Celeron and FCPGA Pentium III up to 733MHz
* System bus speed:
* Chipset: SiS 630
* Graphics: embedded 2D/3D video display

* Memory sockets: 2 X 168-pin 3.3V non-buffered SDRAM DIMM
* Expansion slots: two 32-bit Revision 2.2 PCI

* External ports: two USB, one parallel, one serial, one VGA, one game
* Form factor: Micro ATX

I have received the above motherboard from a friend for free. Current I have a POS computer a HP6370Z which has an Slot 1
PII-350mhz with Crucial 224mb Sdram PC100 and motherboard ASUS P2B98-VX. I am not sure of the power supply but I think it is 200 watts. I was thinking to replace the current motherboard with the one above but I would need to purchase a new CPU either a 733 Intel P3 or Celeron. I have the following questions.

1)Can I use the current power supply to run this motherboard and new CPU (since the HP case does not allow for a power supply upgrade)?

2)Should I go with P3 or Celeron as the CPU? And which CPU cooler should I purchase? (prefer a non-fan cooler since I will leave the computer on 24/7 for file sharing in my bedroom and would like it almost silent)

3)Will the current Crucial PC100 Ram I have (1-128mb/1-64mb/1-32mb) work with this motherboard if I use the 128mb and 64mb sticks since the FSB is 133mhz?

4)Regarding this new setup- will I see much more performance with the new motherboard and processor with less ram than what I am already running?

= no as well as that case having proprietary mobo to case connections which are not conducive to your endeavor ..gl
