Worth Overclocking?

I have a Dell 8200. P4 1.7 williamette. 640Mb RDRAM. I was thinking of replacing the Dell custom Intel mobo with one I can overclock. I do not want to spend too much money. I found an Aopen AX4T-II for $36. Also, since I have this custom Dell board that has a custom Dell power supply and connection that only works with Dell mobos, I will also have to replace the Dell case and power supply. I was thinking of a Chieftec SX1040 with a 420W PS ($74). A few questions: is it worth OCing? are the mobo & case any good? Thanks.
 
It's not worth it. Willamettes weren't really known to overclock that well, mainly due to their 0.18 micron process. I've never heard of that motherboard, but at $36, I have to question it's quality and reliability.
