Worth it to upgrade

My current rig is:

a64 (754( 3000@ 2.35 running a 166 splitter
1024 mushkin green 3200
Chaintech vnf3
6800gt oc
onboard sound
slk3700 case w/ 350 antec power
generic dvdrw/dvd
120gb SATA Hitachi

I'd like to step up to a 939 3200 and an MSI k8n neo2 platinum board. I'd keep everything else the same. I figure I can sell my a643000 and vnf3 board for $100. Do you guys think it'd be worth it?

Your system rocks, I see no reason to upgrade ATM. might as well invest in a soundcard and speakers instead.

Yeah that's what I figured. I think I'll pick up a new HSF and see how far I can OC this baby.
