Is there any difference

6800 sell about $1300 something while xeon 5160 woodcrest sells at about $917

Well i am a new......so i am just asking...... would there be any proformance difference.

Yes, the Woodcrest would perform better by itself, perhaps a bit slower when using FB DIMMs. They use different sockets, though, so you'd need a xeon motherboard, FB DIMMs and a case that can handle the motherboard (since most are at least eATX).
